According to the complaint, Bit Digital is a holding company engaged in the bitcoin mining business through its subsidiaries in the United States and Hong Kong.

On January 11, 2021, J Capital Research (“J Capital”) released a research report claiming, among other things, that Bit Digital operates a “fake crypto currency business. . . designed to steal money from investors. While Bit Digital says “it operated 22,869 bitcoin miners in China,” J Capital said “it is not possible” and said “[w]confirmed by local governments apparently hosting the BTBT mining operation that there are no bitcoin miners. ”Following this news, Bit Digital’s stock price fell $ 6.27 per share, or 25%, to close at $ 18.76 per share on January 11, 2021.

Bit Digital investors can, no later than March 22, 2021, try to be appointed as the plaintiff ‘s lead class representative through Kessler Topaz Meltzer & Check, LLP or other advisor, or they can choose to do nothing and remain an absent member of the class.
